Terms of Use
1. Agreement
These Terms of Use govern access to and use of the Tenderbox website and platform (the "Service"), operated by [Legal entity name] ("Tenderbox", "we", "us"), Dubai, United Arab Emirates. By accessing or using the Service you agree to these terms. If you use the Service on behalf of a company, you confirm you are authorised to bind that company. Where a separate signed subscription or pilot agreement exists, that agreement prevails over these terms to the extent of any conflict.
2. The Service
Tenderbox provides digital tools for construction tendering, including contractor databases, sealed bid submission, bid analysis, and reporting. The Service supports — but does not replace — your own professional judgement. Analysis outputs are decision-support material; award decisions and their consequences remain solely your responsibility.
3. Accounts
You are responsible for keeping account credentials confidential and for all activity under your account. You must provide accurate information and notify us promptly of any suspected unauthorised use.
4. Acceptable use
- Do not attempt to access sealed bids, other clients' data, or any part of the Service you are not authorised to access.
- Do not upload unlawful, infringing, or malicious content, or use the Service to violate procurement, competition, or anti-bribery laws.
- Do not interfere with, reverse engineer, scrape, or disrupt the Service, or misrepresent your identity or authority.
We may suspend or terminate access for breach of these terms.
5. Your content and our IP
You retain all rights in the tender documents, bids, and other content you upload ("Client Content"). You grant us a limited licence to host and process Client Content solely to provide the Service. The Service itself — software, design, branding, and documentation — is and remains the intellectual property of [Legal entity name] or its licensors. No rights are granted except as expressly stated.
6. Confidentiality and data
We treat Client Content as confidential and do not share it with other clients or third parties except as needed to provide the Service or as required by law. Personal data is handled in accordance with our Privacy Policy.
7. Disclaimers and liability
The Service is provided "as is" and "as available". To the maximum extent permitted by law, we exclude all implied warranties and are not liable for indirect or consequential losses, loss of profit, loss of contract or opportunity, or loss of data. Our total aggregate liability arising out of or in connection with the Service is limited to the fees paid by you for the Service in the twelve (12) months preceding the claim, or AED 10,000 if no fees have been paid. Nothing in these terms excludes liability that cannot be excluded under applicable law.
8. Changes
We may update the Service and these terms from time to time. Material changes will be notified via the Service or by email; continued use after changes take effect constitutes acceptance.
9. Governing law and jurisdiction
These terms are governed by the federal laws of the United Arab Emirates and the laws of the Emirate of Dubai as applicable. The courts of Dubai have exclusive jurisdiction over any dispute arising out of or in connection with these terms or the Service.
